Please read these Terms and Conditions (“Terms”, “Terms of Service”) carefully before using the EzzyBook accounting software and its associated services (collectively, the “Service”) operated by EzzyBook (“us”, “we”, or “our”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.
2. Account Registration and Agreement
Upon signing up for an EzzyBook account, a legally binding agreement is established between you (the “Account Holder”) and EzzyBook. This agreement is governed by the provisions of these Terms. We reserve the right to suspend or terminate any account at our sole discretion in case of technical limitations, breach of terms, or legal issues.
3. Client Responsibilities
- You are solely responsible for maintaining the confidentiality of your account credentials.
- You must not share your login details with any unauthorized person or external party.
- You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations.
4. Access and Authentication
Access to the EzzyBook service requires a valid username and password. Once your free trial expires, continued access will be restricted unless a valid paid subscription is maintained. Passwords can be reset using the provided password reset tools.
5. License and Usage
EzzyBook provides the software and related services on a subscription basis. We grant you a limited, non-transferable, non-exclusive license to use the Service. You do not acquire ownership of the software or any intellectual property related to it.
6. Limitation of Liability
We are not liable for:
- Any indirect, incidental, special, or consequential damages;
- Losses resulting from incorrect information provided by you or third parties;
- Delay or failure to perform due to circumstances beyond our control (e.g., natural disasters, technical faults);
- Fraud, misrepresentation, or willful default by any party other than EzzyBook.
Nothing in these Terms excludes or limits our liability for death or personal injury resulting from our negligence or fraud.
7. Exclusion of Liability in Case of Fraud
EzzyBook shall not be liable for losses or damages arising from the concealment, misrepresentation, or withholding of material information by the Account Holder or any third party involved in the service.
8. Third-Party Rights
The information and services provided are solely for the use of the Account Holder and are not intended for reliance by any third party unless explicitly authorized in writing. We accept no liability to any third party for the use or reliance on the Service or any part of the information derived from it.
9. Subscription and Payment Terms
- Subscription fees are charged based on the pricing plans available on our website.
- If subscription fees are not paid on time, access to the Service may be suspended.
- No refunds will be issued for partial or unused periods of service.
- Applicable taxes will be charged as required by law.
10. Inactive Account Policy
We reserve the right to terminate any unpaid accounts that remain inactive for more than 120 days. In such cases:
- All associated data may be permanently deleted.
- Prior notification will be given, allowing the user to back up their data.
- In multi-user accounts, if at least one user remains active, the account will not be considered inactive.
11. Termination and Cancellation
- We may suspend or terminate access to the Service if you violate these Terms or fail to pay subscription fees.
- We reserve the right to close your account at any time, with or without notice, depending on the severity of the issue.
- You may cancel your subscription at any time by contacting us at support@ezzybook.com.
- No further fees will be charged post-cancellation; however, previously paid fees are non-refundable.
12. Service Availability and Maintenance
We aim to provide continuous, reliable access to the Service. However, temporary interruptions may occur due to scheduled maintenance or unforeseen issues. Access to the Service may also be restricted if your account is suspended or expired.
13. Intellectual Property Rights
- All copyrights, trademarks, patents, database rights, and other intellectual property associated with the Service remain the property of EzzyBook.
- You do not gain ownership rights to the Service or its content.
- You retain ownership of any data you input into the system (e.g., your company name, logo, business data).
- EzzyBook may disclose your data to law enforcement if required by law but will not otherwise share your data without consent.
14. Data Protection & Privacy
EzzyBook collects and processes personal data for service delivery, compliance, maintenance, and enhancement of client records. We handle your data in accordance with applicable data protection laws. For more details, refer to our Privacy Policy.
15. Retention of Records
- You are legally responsible for retaining records relevant to your tax and financial affairs.
- EzzyBook may destroy stored data or communication older than 7 years, unless you request otherwise in writing.
- Original documents submitted by you will be returned upon request.
16. Definitions
- Account Holder: The individual or entity that registers for and maintains an EzzyBook account.
- EzzyBook Account: A subscription-based access to EzzyBook services.
- Service: The EzzyBook accounting application and all associated functionalities.
- You / Your: The Account Holder using the Service.
- We / Us / Our: Refers to EzzyBook.
- Your Data: Any data entered into the EzzyBook system by you or your authorized users.
17. Modifications to Terms
EzzyBook reserves the right to update or change these Terms at any time. Continued use of the Service after such changes constitutes your acceptance of the new Terms. We recommend reviewing this page periodically.
